ELEARNINGATE Terms & Conditions

These Terms and Conditions govern the provision and use of the ELEARNINGATE learning management platform and related services.
By entering into an Order Form, Proposal or other commercial agreement with ELEARNINGATE, or by accessing and using the Platform, you agree to be bound by these Terms.

1. Definitions
- Platform means the ELEARNINGATE learning management platform together with all associated software, services and features.
- Customer means the organisation purchasing or using the Platform.
- Learner means any authorised user accessing training through the Customer's account.
- Content means all courses, documents, media, assessments and data uploaded or created by the Customer.
- Order Form means any quotation, proposal, purchase order or commercial agreement accepted by both parties.
2. Service
ELEARNINGATE grants the Customer a non-exclusive, non-transferable licence to use the Platform during the agreed subscription term.
Subscription terms, pricing and included services are defined within the applicable Order Form. You can review our published plans on the pricing page.
3. Availability
We aim to maintain platform availability of 99.9% excluding scheduled maintenance.
Maintenance windows will normally be communicated at least 48 hours in advance wherever practical.
4. Customer Responsibilities
Customers are responsible for:
- maintaining account security
- ensuring uploaded content is lawful
- obtaining appropriate permissions for learner data
- ensuring learners comply with these Terms.
5. Customer Content
Customers retain ownership of all uploaded content.
ELEARNINGATE receives only the limited rights necessary to host, process and deliver that content through the Platform.
6. Security
ELEARNINGATE uses industry-standard technical and organisational security measures including secure Microsoft Azure hosting, encrypted communications, controlled access, monitoring and regular software updates.
7. Data Protection
Customers remain the Data Controller.
ELEARNINGATE acts as the Data Processor.
Both parties agree to comply with UK GDPR and applicable data protection legislation.
Customer data is hosted within Microsoft Azure UK infrastructure unless otherwise agreed. Further detail is available in our privacy policy.
8. AI Features
Where AI-assisted features are provided (including RapidForge AIâ„¢), Customers remain responsible for reviewing and approving all AI-generated content before publication or learner use.
AI-generated content should always be treated as a drafting aid rather than professional advice.
9. Support
Support is provided during UK business hours unless otherwise agreed within the Customer's Order Form.
10. Subscription & Renewal
Subscriptions continue for the agreed contractual term.
Either party may elect not to renew by providing written notice at least 30 days before the renewal date, unless otherwise agreed within the Order Form.
11. Payment
Invoices are payable in accordance with the agreed commercial proposal.
Late payment may result in suspension of access until outstanding invoices are settled.
12. Intellectual Property
All intellectual property relating to the Platform remains the property of ELEARNINGATE.
Customers retain ownership of their own content.
13. Confidentiality
Both parties agree to keep confidential all commercially sensitive information obtained during the relationship.
This obligation survives termination for three years.
14. Third-Party Services
The Platform may integrate with third-party services.
ELEARNINGATE is not responsible for changes, availability or functionality of third-party providers.
15. Limitation of Liability
ELEARNINGATE shall not be liable for indirect or consequential loss.
Our total liability shall not exceed the subscription fees paid during the previous twelve months.
16. Force Majeure
Neither party shall be liable for delays caused by circumstances outside their reasonable control.
17. Changes
ELEARNINGATE may update these Terms where required by changes in law, business practice or services.
Material changes will be notified in advance.
18. Governing Law
These Terms are governed by the laws of England and Wales.
